Client Service Terms

These plain-English Client Service Terms govern all design, website, video, marketing, local SEO, paid advertising, CRM automation, AI voice receptionist, and consulting services performed by Pixel Pro AI Marketing LLC (“Pixel Pro,” “we,” “us,” or “our”) for our clients (“Client,” “you,” or “your”).

1. Overview & how this agreement works

When you pay a Pixel Pro invoice, complete checkout from our Interactive Quote Builder, or submit an authorized project brief, you agree to these Terms along with the specific scope and pricing shown on your quote or invoice.

2. Services covered

These Terms cover all services offered by Pixel Pro, including one-time creative and web builds (custom websites, e-commerce stores, logos, brand kits, apparel/merch design, print design, photography, video editing, social graphic bundles, blog bundles, and diagnostic audits), recurring monthly plans (Local SEO / Rank Local / Rank Higher, Paid Advertising management, Social Media Management, Facebook Group Marketing, Content Fuel, and Video Production tiers), CRM & AI Automation plans (Get Automated, Get Chosen, Get Ahead), AI Phone Receptionist systems, Custom AI Automations, and Consulting / Fractional CMO retainers.

3. Quotes, invoices & order confirmation

Written quotes and Quote Builder summaries are valid for 30 days from the date issued unless otherwise noted. A project or service plan is officially confirmed and scheduled once your initial invoice payment is completed and we receive your onboarding brief or required account access.

4. Payment terms & sales tax

All prices are in US Dollars (USD). Unless otherwise stated on your invoice, one-time projects, setup fees, and the first month of recurring plans are due upfront before work begins. Applicable Texas state and local sales tax (8.25%) is added to taxable services as shown on your quote and invoice. Payments are processed securely through Stripe; Pixel Pro never sees or stores your full card number.

5. Recurring monthly plans & auto-renewal

Monthly services (including SEO, Paid Ads management, Social Media, Content Fuel, Video Tiers, AI Receptionist, Consulting retainers, and CRM plans) are billed on an automatically renewing monthly basis. By paying your initial invoice for a recurring plan, you authorize Pixel Pro (via Stripe) to charge your payment method on file each month for the agreed monthly amount plus applicable tax until cancelled in accordance with Section 8. You will receive an email receipt for every recurring charge.

7. Setup fees & when monthly billing starts

• Plans without a separate setup fee (including Annual CRM Plans & Monthly Retainers): Billing starts on the day you purchase, and your recurring monthly billing date is set to that date each month.
• Plans with a separate one-time setup fee (such as Month-to-Month CRM Plans & AI Receptionist): You pay the setup fee today to fund the build. Your recurring monthly fee begins once your system is delivered and ready to go live (or 30 days after purchase if launch is delayed only because we are waiting on client inputs or approvals).

8. Cancellation & how to cancel

You may cancel any month-to-month plan by giving us at least 14 days' notice before your next monthly billing date. You can cancel inside the Client Portal at portal.pixelproaimarketing.com (under Subscriptions), or by emailing grow@pixelproaimarketing.com. Once cancelled, your service remains active through the end of your current paid billing period, and you will not be billed again.

9. Refunds & non-refundable items

Because we allocate specialist time and begin research, design, configuration, or campaign setup immediately upon order confirmation:

• Setup fees, diagnostic audits, and completed or in-progress one-time creative/website projects are non-refundable once work has started.
• Paid monthly subscription cycles are non-refundable and are not prorated for partial months.
• Third-party costs (such as domain registrations, software licenses, telecom/carrier registration fees, and ad spend paid to Google, Meta, or other platforms) are non-refundable.

If we ever fail to deliver an agreed one-time deliverable and cannot resolve the issue within a reasonable cure period, we will issue a fair refund for the undelivered portion.

10. Client responsibilities, access & approvals

Great results require timely collaboration. You agree to provide accurate business details, logos/photos (where applicable), and necessary logins or admin access (such as domain DNS, Google Business Profile, website, or ad accounts) and to review proofs within a reasonable timeframe. If we are waiting on required client input, access, or approval for more than 14 days, project delivery timelines extend accordingly and scheduled billing continues as normal.

11. Revisions & scope changes

Each creative and website package includes the revision rounds listed in its package description (or two reasonable rounds of revisions prior to final approval if not otherwise specified). Revisions cover adjustments within your original project brief. If you request new pages, extra deliverables, or a change of direction after final approval, we will let you know the price and get your approval before doing the extra work.

12. Delivery timelines

Estimated turnaround times are shared at kickoff and in the Client Portal. While we work quickly to hit every target date, delivery dates are estimates and may be affected by revision rounds, client response times, or third-party verification queues (such as Google Business Profile verification or mobile carrier A2P 10DLC approval).

13. Ownership, intellectual property & portfolio rights

• Your final deliverables: Once your invoice for a custom logo, brand kit, website, photo shoot, video, or written article is paid in full, you own the final client deliverables created specifically for your business.
• Underlying tools & frameworks: Pixel Pro retains ownership of our pre-existing code libraries, internal automation templates, SOP frameworks, and working/raw project files unless a raw-file buyout is included in your quote.
• Client-supplied materials: You confirm that you own or have permission to use any logos, photos, fonts, copy, or customer lists you give us.
• Portfolio display: Unless you ask us in writing to keep a project private, we may display finished public work (such as websites, logos, and videos) in our portfolio and case studies.

14. Website creation, hosting & maintenance

Standard website packages include up to 5 core pages (plus any additional pages or e-commerce setup selected in your quote), mobile-responsive design, contact/lead forms, and basic on-page SEO setup. Once paid in full, your site is launched on your domain. Ongoing hosting, security updates, and content edits are included when paired with an active CRM or maintenance plan; otherwise, post-launch edits can be requested anytime through our Help Desk at standard rates.

15. Local SEO & Google Business Profile services

Our Rank Local and Rank Higher plans use proven, white-hat local SEO, Google Business Profile optimization, content publishing, citation building, and review generation strategies. Because Google controls its own search algorithms, map pack rankings, and business verification decisions, no ethical agency can guarantee a specific #1 ranking position or exact Google verification timeline. If your Google Business Profile is suspended or requires video verification, we will guide and assist you through the appeal process, which requires genuine business documentation from you.

16. Paid advertising & third-party ad spend

Our Paid Advertising plans cover campaign strategy, setup, creative guidance, targeting, A/B testing, and monthly optimization across the platforms in your tier (Google, Meta/Facebook/Instagram, TikTok, YouTube, Pinterest, or Nextdoor). Your actual media ad spend (minimum $500/month recommended) is billed directly to your payment card by the ad platforms and is separate from Pixel Pro's management fee.

17. Photography, video production & drone add-ons

For on-site photo and video shoots (including Content Fuel and Video Production tiers), please provide at least 48 hours' notice if you need to reschedule a confirmed shoot date; late cancellations or no-shows may count toward that month's session or incur a rescheduling fee. Drone aerial filming is subject to weather conditions, airspace restrictions, and FAA safety regulations. You are responsible for ensuring we have permission to film at your location and consent from any staff or customers appearing on camera.

18. CRM, SMS & marketing automation compliance (TCPA & A2P 10DLC)

When we configure CRM pipelines, missed-call text-back, review requests, or SMS/email campaigns for your business, we build your forms with carrier-compliant opt-in language. You are the sender of record for communications sent to your customers and represent that any contact lists you import or message have valid opt-in consent under the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and mobile carrier A2P 10DLC rules. Standard carrier registration and messaging/telephony usage charges are billed at cost through your CRM/telephony account.

19. AI Phone Receptionist & Custom AI Assistants

Our AI Phone Receptionist and SOP AI Assistants are trained on the business information, FAQs, pricing rules, and calendars you provide.

• Usage billing: The monthly plan fee covers platform hosting, maintenance, and prompt tuning; per-minute voice/telephony and AI usage are billed per your plan summary.
• Review & supervision: Because AI voice and language models generate responses probabilistically, you agree to test and approve your agent's greeting, quoting rules, and escalation paths before going live. AI agents must never be used to provide medical, legal, or emergency 911 dispatch advice.
• Call recording compliance: Where call recording and transcription are enabled on your business line, we include a polite call-recording disclosure in the greeting, and you are responsible for ensuring compliance with call-recording consent laws applicable to your callers.

20. Consulting, diagnostic audits & Fractional CMO

One-time Channel Audits and Monthly Consulting retainers (Advisory, Growth Partner, and Fractional CMO) provide strategic analysis, scorecards, roadmaps, and live strategy sessions. Hands-on production or campaign execution is billed separately unless you also subscribe to the corresponding execution service. Active monthly consulting clients receive a 10% discount on all Pixel Pro execution services while their consulting plan remains active.

21. Client Portal & Help Desk use

We provide access to our Client Portal (portal.pixelproaimarketing.com) and Help Desk (portal.pixelproaimarketing.com/t) so you can view projects, approve proofs, upload files, manage subscriptions, and message our team in one place. You are responsible for keeping your portal sign-in credentials confidential.

22. Confidentiality & data protection

Both Pixel Pro and Client agree to keep each other's non-public business information, customer lists, pricing strategies, and account credentials confidential and to use them only to perform the services under this agreement. Our collection and handling of personal data are governed by our Privacy Policy.

23. No guarantee of specific revenue or business outcomes

We stand behind the quality and timeliness of our deliverables. However, because lead volume, close rates, and revenue depend on market demand, your pricing, your team's follow-up, competition, and third-party platforms beyond our control, Pixel Pro does not guarantee a specific number of leads, calls, rankings, or sales.

24. Limitation of liability & indemnification

To the fullest extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or lost-profit damages. Pixel Pro AI Marketing LLC's total cumulative liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees actually paid by you to Pixel Pro for the specific service giving rise to the claim during the three (3) months immediately preceding the event (or the fee paid for the specific one-time project). You agree to indemnify and hold Pixel Pro harmless from third-party claims arising out of materials, claims, or contact lists you provide to us or your breach of applicable law.

25. Late payments, suspension & termination

If a recurring charge or invoice remains unpaid for more than 7 days past its due date, we may pause active campaigns, automations, AI receptionist routing, or project work until the account is brought current. Either party may terminate an engagement if the other party commits a material breach and fails to cure it within 14 days of written notice.

26. Governing law, dispute resolution & general terms

These Terms are governed by the laws of the State of Texas. Before filing any formal legal claim, both parties agree to confer in good faith for at least 30 days to resolve any dispute informally. Any legal action that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Brazoria County or Harris County, Texas. Pixel Pro is an independent contractor. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
